Article 1 — Definitions
In these terms and conditions, the following terms have the following meanings:

- Client: the natural or legal person entering into an agreement with Visualprint
- Agreement: any arrangement between Visualprint and the Client
- Quote: a written offer from Visualprint
- Work: the products and/or services to be delivered
Article 2 — Applicability
- These terms and conditions apply to all quotes and agreements where Visualprint acts as supplier.
- Deviations from these terms are only valid if agreed in writing.
- The Client's general terms and conditions do not apply unless Visualprint has accepted them in writing.
Article 3 — Quotes and conclusion of agreement
- All quotes from Visualprint are non-binding and valid for 30 days, unless otherwise stated.
- The agreement is concluded by written (email) confirmation of the quote by the Client, or by acceptance of an order confirmation from Visualprint.
- Visualprint may require a proof print for specific projects before proceeding to production. The Client receives this digitally for approval.
Article 4 — Supply of files and materials
4.1 Files
- Files for production must be supplied per the specifications on /en/file-and-garment-prep/.
- Visualprint is not liable for production errors resulting from non-compliant file supply.
- Copyright and intellectual property of supplied designs remain with the Client; the Client guarantees that supply does not infringe third-party rights.
4.2 Supplied products (own supply)
- If the Client supplies their own textiles or other products, they must provide a fully completed intake form in advance.
- Visualprint may perform a sample print with wash test before bulk production. The Client must approve this in writing before bulk begins.
- Liability for own-supplied items: if after bulk production it appears that the print or decoration unexpectedly fails to adhere or performs poorly due to properties of the supplied products that could not reasonably be detected in the sample test, Visualprint is not liable for re-production of the work.
- In such cases Visualprint will reasonably cooperate on a solution — e.g. an alternative technique or re-production at material cost.
Article 5 — Delivery times
- Stated delivery times are indicative and do not constitute a fatal deadline, unless explicitly agreed otherwise in writing.
- In case of exceeding delivery time, the Client must give Visualprint written notice of default, with a reasonable period for compliance.
- Visualprint is not liable for damages from delays caused by force majeure, supplier delays, transport delays, or other circumstances outside its sphere of influence.
Article 6 — Pantone colour matching and quality
- Visualprint strives to match specified Pantone colours as closely as possible, accounting for natural variations in textiles, paper and inks.
- A slight variation between proof and final product (typically ±5%) is technically unavoidable and not considered a defect.
- For strictly colour-critical projects, a physical colour-match sample can be made before production (per quote).
Article 7 — Prices and payment
- All prices are in Euros excluding VAT, unless otherwise stated.
- Payment is in advance via iDEAL or bank transfer, unless other payment arrangements are agreed in writing.
- For recurring business clients, invoice terms of 14 or 30 days can be agreed.
- Late payment incurs statutory commercial interest without notice of default, plus extrajudicial collection costs per the WIK (Dutch debt collection law).
Article 8 — Retention of title
- Delivered products remain the property of Visualprint until full payment of the invoice is received.
- The Client must store the products with care and may not resell, pledge or encumber them until full payment has been made.
Article 9 — Liability
- Visualprint's liability is limited to the amount of the relevant invoice (excluding VAT).
- Visualprint is not liable for: - Indirect damage (consequential damage, loss of profit, missed revenue) - Damage from delivery delays - Errors due to incorrect or incomplete information from the Client - Adhesion problems on own-supplied products whose properties could not be detected in the sample test (see Art. 4.2)
- Complaints must be reported in writing within 8 working days of delivery, with photos and specification.
Article 10 — Force majeure
- Force majeure includes: circumstances outside Visualprint's sphere of influence preventing performance, including but not limited to: strikes, transport delays, supplier issues, fire, machine failures, pandemics, legal measures.
- In case of force majeure, Visualprint may postpone delivery or terminate the agreement without obligation to pay damages.
Article 11 — Copyright
- Copyright on graphic designs created by Visualprint remains with Visualprint, unless agreed otherwise in writing.
- The Client guarantees that supplied work does not infringe third-party rights and indemnifies Visualprint against claims in this regard.
Article 12 — Disputes
- Dutch law exclusively applies to this agreement.
- Disputes are submitted to the competent court in the district of The Hague.
